Mathclub.NYC (the “Service”) is an online platform for teaching mathematics. These terms of use (“Terms”) govern your use of the Service and set forth the legally binding terms for your use of the Service. By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
Definitions
“User” or “You” refers to any individual or entity that uses the Service.
“Mathclub.NYC” refers to the Service and its affiliates and subsidiaries.
“Course” refers to the hourly, daily, monthly, quarterly, biannually, and yearly courses offered through the Service.
Service Description
Mathclub.NYC provides a platform for teaching mathematics through its Courses. The Service is accessible through the Mathclub.NYC website and zoom. Mathclub.NYC reserves the right to modify, discontinue, or restrict access to the Service at any time, with or without notice.
Fees and Payment
You agree to pay the fees for the Courses you enroll in, as described on the Mathclub.NYC website. Stripe and PayPal, and Mathclub collect credit card information. The Mathclub.NYC does not store, keep, or sell private data. Any data collection is intended for providing services or related communication and marketing purposes. Mathclub.NYC reserves the right to change its fees at any time, with or without notice. If you dispute any fees, you must notify Mathclub.NYC in writing within 60 days of the date the fee was charged.
User Conduct
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not use the Service:
To engage in any activity that is illegal or malicious, including but not limited to hacking, spamming, phishing, or spreading viruses or malware.
To impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
To engage in any disruptive or abusive behavior during Courses, including but not limited to using profanity or harassing other users.
Data Collection and Privacy
By using the Service, you agree to the collection and use of your personal information, including your email address, phone number, and address, as described in Mathclub.NYC’s Privacy Policy. Mathclub.NYC or its affiliated 3rd party may use this information to provide the Service and communicate with you. It may also use these data for future service or product announcements and marketing purposes.
Class Recordings
Mathclub.NYC may record classes for quality control and review purposes. By using the Service, you consent to the recording of your classes and acknowledge that these recordings may be used by Mathclub.NYC for internal and promotional purposes. These can also be used to teach others with or without fees.
Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” MATTCLUB.NYC DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MATTCLUB.NYC MAKES NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
Limitation of Liability
MATTCLUB.NYC WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF MATTCLUB.NYC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, RESULTING FROM:
YOUR USE OR INABILITY TO USE THE SERVICE;
UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR
ANY OTHER MATTER RELATING TO THE SERVICE.
Indemnification
You agree to indemnify, defend, and hold harmless Mathclub.NYC, its affiliates, and its and their respective officers, directors, employees, agents, licensors, and suppliers, from and against all losses, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from any violation of these Terms or any activity related to your use of the Service.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the state of New York, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of a state court located in New York or the United States District Court for the Southern District of New York.
Entire Agreement
These Terms constitute the entire agreement between you and Mathclub.NYC regarding the use of the Service. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced.
Changes to Terms of Use
Mathclub.NYC reserves the right, at its sole discretion, to modify or replace these Terms at any time. Your continued use of the Service following any changes to these Terms constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must discontinue your use of the Service.
